Terms of Service

Effective date: August 29, 2026

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “Contractor”, or “Customer”) and BidNail (“BidNail”, “we”, “us”). By creating an account or using the BidNail platform (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

BidNail provides software that helps trades contractors create proposals, contracts, change orders, invoices, and related documents, including AI-assisted drafting. The Service is a tool. You are solely responsible for reviewing, editing, and approving every document you generate before relying on it or sending it to a client.

2. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. Subscriptions, Billing & Payment

Paid plans (Pro, Business, and Agency) are billed on a recurring monthly basis. Payments are processed by our third-party payment processor, Stripe, Inc. By subscribing, you also agree to Stripe’s terms and authorize recurring charges to your payment method until you cancel.

  • Subscriptions renew automatically each billing period unless canceled before the renewal date.
  • You may cancel at any time from the Billing page or the Stripe customer portal; access continues until the end of the current paid period.
  • Fees are stated exclusive of taxes, which may be added where required.
  • Except where required by law, payments are non-refundable. Failed or disputed payments may result in suspension or downgrade of your account.

4. Free Plan Limits

The Free plan permits creation of a limited number of documents as described on our pricing page. We may change plan features and limits with reasonable notice.

5. Your Content

You retain ownership of the business information, client data, and documents you create (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service. You represent that you have the rights to all information you submit and that it does not violate any law or third-party right.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms.

7. AI-Generated Content

The Service uses artificial intelligence to help draft documents. AI output may contain errors, omissions, or inaccurate pricing or legal language. See our AI Content Disclaimer and Contractor Document Disclaimer. You are solely responsible for verifying all output before use.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by BidNail and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDNAIL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold BidNail harmless from claims arising out of Your Content, your documents, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and delete your account at any time (see our Privacy Policy for account deletion). We may suspend or terminate access for violation of these Terms. Sections that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which BidNail is established, without regard to conflict-of-law principles.
